By creating an account or using Wadata HR, you agree to these terms. Please read them. If you do not agree, do not use the platform. If you are using Wadata HR on behalf of a business, you confirm that you have authority to bind that business to these terms.

1. Who we are

Wadata HR is a payroll, HR, and compliance platform operated by Wadata HR Solutions Limited, a company registered in Nigeria with its principal place of business in Awka, Anambra State.

References to "Wadata HR", "we", "us", or "our" mean Wadata HR Solutions Limited. References to "you" mean the business or individual using the platform.

2. The service

Wadata HR provides tools to help Nigerian businesses manage payroll, worker contracts, and regulatory compliance. This includes:

  • Payroll calculation and processing for full-time, casual, and contract workers
  • Digital contract generation and e-signatures
  • PAYE, pension, NHF, NSITF, and WHT calculations based on current Nigerian tax law
  • Compliance dashboards and remittance tracking

We reserve the right to modify, suspend, or discontinue any part of the service at any time. We will give you reasonable notice of significant changes.

3. Your account

You must create an account to use Wadata HR. You agree to:

  • Provide accurate and complete information when registering
  • Keep your login credentials secure and not share them with others
  • Notify us immediately if you suspect unauthorised access to your account
  • Take responsibility for all activity that occurs under your account

You must be at least 18 years old and have legal authority to enter into contracts on behalf of your business to use Wadata HR.

4. Acceptable use

You agree to use Wadata HR only for lawful business purposes. You must not:

  • Enter false or misleading information about workers or their compensation
  • Use the platform to facilitate fraud, tax evasion, or any illegal activity
  • Attempt to access, copy, or reverse engineer any part of the platform
  • Use the platform in a way that could damage, overload, or impair our systems
  • Share your account access with unauthorised individuals

We may suspend or terminate your account if we have reason to believe you are in breach of these terms.

5. Compliance responsibility

Wadata HR calculates payroll and compliance obligations based on Nigerian tax law as it stands at the time of each calculation. We update our calculations when regulations change and aim to reflect changes promptly.

However, you remain solely responsible for:

  • The accuracy of worker data you enter into the platform
  • Ensuring actual remittances are made to the NRS, State Internal Revenue Services, pension administrators, and other authorities by the required deadlines
  • Verifying that all calculations are correct before approving payroll
  • Complying with all applicable Nigerian employment and tax laws

Wadata HR is a tool to help you manage compliance. It does not replace the advice of a qualified accountant or legal professional. We are not responsible for penalties, fines, or liabilities arising from errors in data you provided or from regulatory changes we had not yet incorporated at the time of processing.

6. Payment and subscriptions

Wadata HR is offered on a subscription basis. Pricing is displayed on our website and may change with 30 days' notice to existing subscribers.

  • Subscriptions are billed monthly or annually depending on the plan you choose
  • Payments are processed in Nigerian Naira
  • Subscriptions renew automatically unless you cancel before the renewal date
  • We do not offer refunds for partial billing periods
  • If a payment fails, we will notify you and give you a reasonable period to update your payment details before suspending access

During your free trial period, no payment is required. At the end of the trial, you will need to subscribe to continue using the platform.

7. Your data

You own your data. By using Wadata HR, you grant us a limited licence to process your data for the purpose of providing the service.

We will not sell your data or use it for advertising. Full details of how we collect, use, and protect your data are in our Privacy Policy.

If you close your account, you can request an export of your data before deletion. We will retain payroll and compliance records for up to 7 years as required by Nigerian tax law.

8. Intellectual property

Wadata HR and all content within it, including the platform design, software, logos, and documentation, are the property of Wadata HR Solutions Limited and are protected by Nigerian and international intellectual property law.

You may not copy, reproduce, distribute, or create derivative works from any part of the platform without our written permission.

We do not claim ownership of the data you enter into the platform. That remains yours.

9. Limitation of liability

To the maximum extent permitted by Nigerian law, Wadata HR Solutions Limited is not liable for:

  • Any indirect, incidental, or consequential loss arising from your use of the platform
  • Loss of data, revenue, or profits
  • Regulatory penalties or fines resulting from errors in data you provided
  • Service interruptions beyond our reasonable control

Our total liability to you for any claim arising from these terms or your use of Wadata HR shall not exceed the amount you paid us in the 3 months preceding the event giving rise to the claim.

Nothing in these terms limits liability for fraud, death, or personal injury caused by our negligence.

10. Termination

You may cancel your subscription at any time from within your account settings. Cancellation takes effect at the end of your current billing period.

We may suspend or terminate your account immediately if you breach these terms, if we are required to do so by law, or if we reasonably believe continued access poses a risk to the platform or other users.

On termination, your right to use the platform ends. We will retain your data in accordance with our Privacy Policy and applicable law.

11. Changes to these terms

We may update these terms from time to time. When we make material changes, we will notify you by email at least 14 days before the changes take effect. Your continued use of Wadata HR after that date means you accept the updated terms.

If you do not accept the new terms, you may cancel your account before they take effect.

12. Governing law

These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these terms or your use of Wadata HR will be subject to the exclusive jurisdiction of the Nigerian courts.
